Terms of Service
Effective and last updated October 8, 2026
These Terms of Service (the “Terms”) are a binding agreement between the customer identified at Checkout (“Customer” or “you”) and Cowboy Trailers and Equipment LLC, doing business as CTE Social (“CTE Social,” “we,” or “us”). By creating an account, purchasing a plan, or using the service, you agree to these Terms and the linked Privacy, Cancellation, and Refund Policies.
1. Eligibility and business authority
You must be at least 18 years old and authorized to act for the business whose accounts and content you submit. You are responsible for accurate account, contact, billing, location, brand, and scheduling information and for keeping account credentials secure.
2. The service
CTE Social is a managed social-media content preparation and scheduling service. Depending on your plan, we organize customer-supplied media in Google Drive; use automated and AI-assisted tools to review, caption, brand, and prepare publishing copies; and route approved posts to customer-controlled social accounts through Publer. We do not sell advertising, followers, or physical products, and we do not guarantee reach, engagement, leads, sales, or other marketing results.
3. Plans, billing, and activation
- Plan prices, billing interval, included networks, content allowances, and add-ons are shown before Checkout. Taxes, if applicable, may be added.
- Stripe processes card payments. CTE Social does not receive or store your complete card number.
- Plans renew automatically at the selected monthly or annual interval until canceled. By purchasing, you authorize recurring charges at the disclosed price and frequency.
- The first payment is collected before onboarding. The recurring service period is anchored to controlled service activation. Publishing remains disabled until required configuration, permissions, connections, consent, and operator checks pass.
- Unused monthly content allowances, revisions, or paused days do not roll over unless CTE Social agrees otherwise in writing.
4. Customer responsibilities
You will provide timely, lawful, accurate materials and maintain the permissions needed for Google Drive, Publer, and each connected social network. You are responsible for reviewing your business details, offers, prices, claims, scheduling preferences, and connected destinations. Platform availability, account eligibility, and network-specific features remain subject to each third party’s rules.
5. Customer content and permissions
You retain ownership of content you submit. You grant CTE Social and its service providers a non-exclusive, worldwide, royalty-free license during the service term to access, copy, modify, format, analyze, generate derivative publishing copies from, transmit, and publish that content only as needed to provide, secure, support, and improve your requested workflow. You represent that you own or have permission to use the content, trademarks, music, people’s likenesses, locations, and other material you submit.
Do not submit unlawful, infringing, deceptive, defamatory, confidential, sexually exploitative, or malicious material; private documents or credentials; regulated data not necessary for the service; or media showing people, license plates, or private property without appropriate authority. CTE Social may hold or reject content that presents legal, safety, privacy, quality, or platform-policy risk.
6. Content preparation and approvals
Automated checks reduce risk but are not infallible. Customer configuration and consent define the approved workflow. Material changes to an active configuration may pause automated publishing until the settings are reverified and reactivated. The service includes up to three managed revision rounds per month; additional work may require a separate agreement.
7. Third-party and AI services
The service depends on Stripe, Publer, Google Drive, social networks, AI providers, email, hosting, and other processors. Their terms and availability also apply. You connect social accounts using your own credentials; CTE Social does not request your social-media passwords. Third-party outages, API changes, moderation decisions, or account restrictions may delay or prevent publication and are outside our control.
8. Intellectual property
CTE Social retains all rights in its software, workflow, templates, documentation, and service marks. Subject to payment and these Terms, you may use the final branded publishing copies prepared for your business. No rights are granted to CTE Social source code, internal prompts, systems, or other customers’ material.
9. Suspension and termination
We may pause or restrict the service for payment failure, expired permissions, unsafe or unlawful content, security concerns, platform restrictions, or a material breach. Payment-failure handling, cancellation timing, refunds, and offboarding are described in the Cancellation and Refund Policies.
10. Disclaimers
To the maximum extent permitted by law, the service is provided “as is” and “as available.” CTE Social disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
11. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenues, goodwill, or data. CTE Social’s aggregate liability arising from the service will not exceed the fees paid by Customer to CTE Social during the six months before the event giving rise to the claim. These limits do not apply where prohibited by law or to fraud, willful misconduct, or obligations that cannot legally be limited.
12. Indemnity
You will defend and indemnify CTE Social from third-party claims arising from content, instructions, accounts, or materials you provide; your violation of law or third-party rights; or your material breach of these Terms, except to the extent caused by CTE Social’s own breach or misconduct.
13. General terms
These Terms and the incorporated policies are the entire agreement for the self-service subscription unless a signed agreement states otherwise. You may not assign the agreement without our consent; we may assign it in connection with a reorganization or transfer of the service. If a provision is unenforceable, the remainder continues. Texas law governs, without regard to conflict-of-law rules, and exclusive venue lies in state or federal courts serving Collin County, Texas. Before filing a claim, the parties will first try in good faith for 30 days to resolve it through support.
14. Changes and contact
We may update these Terms prospectively. If a change is material, we will provide reasonable notice through the service or email. Continued use after the effective date constitutes acceptance where permitted by law. Questions may be sent to [email protected].
